    1. Engagement of Services
    Growthify Media (“Company”) agrees to provide web development and digital services as specified in the signed Project Proposal or Statement of Work (SOW). Any work requested outside this scope will be subject to a new estimate and billing.

    2. Client Obligations and Content

    Asset Delivery: The Client must provide all necessary content (text, high-resolution images, logos, and credentials) within 7 business days of project kickoff.

    Delays: Project timelines are contingent upon timely client feedback. Delays in providing feedback or assets exceeding 14 days may result in project suspension and a “restart fee” to reallocate resources.

    3. Development and Approvals

    Milestone Approval: Work is divided into milestones (e.g., Wireframing, Design, Development). Once a milestone is approved by the Client, any subsequent changes to that phase will be billed as additional work.

    Final Testing: The Client is responsible for final UAT (User Acceptance Testing) before the site goes live.

    4. Intellectual Property & Licensing

    Ownership: Upon full and final payment, the Client owns the custom visual design and text content of the website.

    Proprietary Code: Growthify Media retains ownership of any pre-existing code, proprietary scripts, or third-party frameworks used. The Client is granted a perpetual, non-exclusive license to use these elements within the scope of the project.

    Portfolio Rights: We reserve the right to display the completed project in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) is in place.

    5. Liability & Warranty

    Post-Launch Support: We provide a 30-day bug-fix warranty after the site goes live. This does not cover issues caused by client-side modifications, third-party plugin updates, or server failures.

    Third-Party Services: Growthify Media is not responsible for the performance or uptime of third-party services (e.g., AWS, Bluehost, Google APIs).
